LLC and entity title

Entity title is normal on CRE. The stall is a mismatch, not the LLC itself.

Why CRE files often vest in an LLC

Investor-held commercial is usually a business-purpose file. Capital sources expect the borrower story and the title story to match: property in the entity, signers named in the operating agreement, EIN in hand.

What stalls the file

  • Property in the LLC, application talking as if it is personal
  • Operating agreement that does not name the people who will sign
  • Missing EIN, or a brand-new entity with no paper trail
  • Mixed vest — one unit personal, the commercial condo in an LLC

What we are not

We are not your formation attorney and not your CPA. We will say when the vest is likely to bind. We will not draft the operating agreement. We broker the loan file. We do not fund it.
